GAME RULES FOR NEXT EARTH’S “CLEAN THE OCEAN” CHARITY CAMPAIGN’S TREASURE HUNT

1. General

To celebrate the one and only Planet Earth, Next Earth launched a charity campaign called “Clean the Ocean” (hereinafter: “Charity Campaign”) in cooperation with See Turtles Organization (hereinafter: “See Turtles”).

As the part of Next Earth’s “Clean the ocean” Charity Campaign, Zentol Inc. (seat: TC Complex, MH96960 Majuro, Ajeltake Island, Marshall Islands; registration nr.: 105997; hereinafter: “Organizer”) organized a ‘Treasure Hunt’ game (hereinafter: “Treasure Hunt” or “Game”) for the registered Next Earth users. The Treasure Hunt gives an opportunity to the participants to might get some rewards while purchasing specific tiles.

For the Game and your participation, the Terms of Use, White Paper and the Privacy Policy of the Next Earth platform shall govern.

By participating in the Game, participant expressly accepts the present game rules (the “Game Rules”), the Terms of Use, White Paper and the Privacy Policy of the Next Earth platform. Your participation in the game is subject to all additional terms, policies, rules, and guidelines applicable to the Charity Campaign and certain features of the Next Earth website, application and Charity Campaign that we may post on or link to the Charity Campaign, especially, but not limited to the methods and processes defined and made available by the features and functions of the Next Earth website, application and Charity Campaign. By accepting these Game Rules, you accept all the aforementioned additional policies, terms, rules, documents and features.

The Game and its Game Rules does not affect the whole Metaverse, but the Game applies to specific land tiles within Next Earth, located in the highlighted game areas (hereinafter: “Campaign Area”) as it written bellow, i.e. the registered users who purchase land tiles within the Campaign Area and fulfill the further conditions set forth below may participate in the Game.

During the Charity Campaign after each first land purchase of a land tile within the Campaign Area, 10% of the fee shall go into the charity pool, and after each Campaign Area first land purchase, Next Earth shall contribute to the Charity Campaign by providing an extra 10%. This means after every first land purchase within the Campaign Area, 20% contribution shall be made to charity purposes in the separate charity pool, which shall be fully transferred to the See Turtles Organization.

The Organizer shall not have any liability to the participant in connection with the performance of any transaction made within the Campaign Area. Participants bear all risks of purchasing any tile within the Campaign Area, and the participant should only spend amounts that they are willing and able to pay for land tiles in the Campaign Area without the promise of any kind of reward.

NO GUARANTEE. The Organizer does not make any representations regarding the likelihood or probability that any purchase made within the Campaign Area will achieve a reward.

All interactions on the platform must comply with this Game Rules, Next Earth Terms of Use, White Paper and the Privacy Policy. To the extent the participant conduct, in the Organizer sole discretion, restricts or inhibits any other user from using or enjoying any part of the platform, and may limit or terminate the participant privileges on the platform and seek other remedies, including, without limitation, cancellation of the participant account or forfeiture of any forms of unredeemed value in the participant account.

During the period of the Treasure Hunt, if the participant notices any inconvenience according to the Game, they shall contact the Organizer at the following e-mail address (contact email): [email protected].

2. Period of the Treasure Hunt

The Treasure Hunt shall take place from UTC 12:00:00 19 May 2022 to UTC 14:00:00 20 June 2022 (hereinafter: “Period”). The purchase of the tiles in the Campaign Area and the cleaning of the trash in the purchased tiles shall be completed within the 4 weeks Period.

Tiles purchases made at a time other than the Period of the Game are not eligible to participate in the Game. The purchases made before or after the Game Period cannot be accepted as a participation in the Treasure Hunt. Buying any other tiles outside the Campaign Area during the Period of the Treasure Hunt cannot be accepted as a participation in the Game.

3. Rewards

There are two kinds of rewards participants can get in the Game, NXTT tokens in different amounts, and five pieces of unique NFTs. In the Campaign Area rewards are hidden under 1550 pre-defined, fixed tiles that remain unchanged throughout the two-week period of the Treasure Hunt. The hidden rewards are the followings:

Participants must meet all requirements set out in this Game Rules to receive the reward. In the event that a participant fails to comply with any of these conditions or it is found that the participant would not be eligible to participate in the game, the Organizer is entitled to hold back or claim back the reward, if necessary, by legal action. Parties declare that all costs related to the reward, in particular, the gas fee of the transfer shall be borne by the participant.

If there will be any reward left under an unpurchased/uncleaned tile in the Campaign Area after the Game Period, the Organizer shall be entitled to dispose of the leftover rewards.

4. Eligibility to participate in the Treasure Hunt

To participate in the Treasure Hunt, participant must comply with all of the following conditions:

  • The participant is a registered and logged in Next Earth user;
  • Participant has a valid wallet, which is only used by the participant;
  • Participant reached the age of 18 or the age of majority in the state or province they reside and able to create a binding legal obligation;
  • Participant does not attempt to use the Platform with crawlers, robots, data mining, or extraction tools or any other functionality;
  • Participant is not excluded from the Game.

The following persons are excluded person from the Game:

  • Participants who are residing or located in the following countries: United States of America, Russia, China, Hong Kong, India and all sanctioned OFAC countries (DR Congo, Iran, Myanmar, Sudan, Iraq, Ivory Coast, North Korea, Syria, Zimbabwe, Cuba, Belarus, Liberia).
  • The Organizer, See Turtles, their managing directors, employees, commissionees, and the close relatives of all the mentioned persons;
  • Anyone who are during the Period performing any kind of work related to the Next Earth platform and their close relatives;
  • Other direct contributors to the running of the Treasure Hunt, their managing directors, employees, commissionees, and the close relatives of all the mentioned groups;
  • Any legal entity.

Close relative means the spouse, the lineal relative, the adopted child, the stepchild, the foster child, the adoptive parent, the step-parent, and the foster parent and the sibling.

In addition, participants must comply with all the conditions set out in this Game Rules. By purchasing the tiles within the Campaign Area, the participant accepts and agrees to be bound by these rules.

5. Campaign Area

In the Next Earth metaverse-based platform you can find the whole world, although the Treasure Hunt is only taking place in the appointed areas. This area is highlighted in a different color, and when participants are visiting the Campaign Area, they shall get a notification about it. Around the following places participants shall find the Campaign Area, given that the tiles which have already been purchased before the start of the Charity Campaign will not be included:

  • Paso Pacifico / Nicaragua Pacific Coast
  • ICIAAD / Guatemala
  • Fundação Príncipe / Príncipe Island, Cape Verde
  • Turtle Foundation / Sao Tome, Cape Verde
  • Kenya Conservation of Aquatic Resources / Mombasa Kenya
  • Coastal and Marine Resources Development (COMRED) / Kenya
  • Kampung Juara, Pulau Tioman, Malaysia

The Campaign Areas can also be found on the following landing page: cleantheocean.nextearth.io

By buying any other, not appointed tiles in the Next Earth platform, that purchase cannot be accepted as a participation in the Game.

In the Campaign Area participants cannot use UNITs or any types of discount for the purchase of the tiles, and the referral marker link is not valid for the Campaign Area.

6. Participation in the Game

To participate in the Treasure Hunt, the users shall complete all the steps below:

  1. As a registered user of the Next Earth website, the participant shall log in.
  2. Participant shall go to the Campaign Areas within Next Earth, or by clicking on the “Join the campaign” button on the Campaigns’ landing page.
  3. In the Campaign Area, participants shall purchase at least 10 coherent tiles.
  4. After purchasing at least the minimum number of tiles, participants shall get a notification that they can start the Treasure Hunt mode, which is a retrieved mode of the Next Earth platform, where only the purchased tiles are visible.
  5. In the Treasure Hunt mode and after the purchase, the participants may see a trash icon on some of the tiles. Participants shall click one time to the trash icon. The clicking means the participant removed the trash icon and “cleaned” the area (the tile). If there are several trash icons in the Treasure Hunt mode, the Organizers recommend continuing “cleaning” the tiles, because there is an opportunity to find some more rewards in that area. Not all of the trash icons have a reward under them, but all of the rewards are hidden under trash icons. If participant does not remove all the trash icons, participant may lose the chance to win the reward hidden under it. After the purchase of the tiles in the Campaign Area the participant is the sole respondent for the “cleaning”, which gives the opportunity to win the reward. The trash icons may only be removed within the Game Period.
  6. If there is garbage on the tiles and participant close the Website, the participant can start the game again within the Game Period, if they navigate to the My Lands, and they click on the tile(s) that they purchased. After that they can click on the CTA - Treasure hunt game.
  7. If the participant sees a treasure icon after the “clean-up”, it means that the participant won one of the rewards.
  8. In case the participant won one of the rewards, participant shall get a notification, where the platform informs the participant which one of the rewards they got.
  9. After receiving the notification, the participant does not have to do anything else, the platform shall send the reward automatically.

After the participant won any of the rewards, the Organizer automatically sends the reward to the participant’s wallet within 24 hours. This means that the participant shall not do anything else to get the reward, except for the NFT rewards, where the participants shall take the measures required by their own wallets to show the NFT rewards properly. The Organizer agrees to transfer the reward to the participant’s existing wallet, provided that the participants meet all the requirements set out in the Game Rules. 7. Further Rules of the Game

By purchasing the tiles (within the Campaign Area) to participate in the Treasure Hunt, only the minimum number of tiles is fixed, which is 10 coherent tiles. Although participants can buy more than the minimum number, there is no limitation for the maximum number of tiles.

Participants can buy the minimum number of coherent tiles several times, in different places within the Campaign Area.

Since the tiles that contain the rewards are fixed, one participant may win one or more rewards from it’s purchase, and on the other hand, there is no guarantee that with a purchase a participant wins any of the rewards.

Participants acknowledge that after purchasing a tile in the Campaign area, they can sell the tiles, but Treasure Hunt mode with the rewards is not available for the secondary owner, only for the original owner.

Participants may only participate in the Game with one wallet. Participants may be disqualified (even if they win) if they provide incorrect or false information and/or uses more than one wallet. A wallet address may only be validly entered by one participant.

The Organizer reserves the right to exclude from the Game any participant who participates in an irregular manner, in a manner inconsistent with the spirit of the Game or by means not permitted, and thus gains an undue advantage for themself, and may refuse to transfer the reward to such participants. Such irregular, forbidden manners are the followings, without limiting any other terms of this Game Rule:

  • Decipher, decompile, disassemble or reverse engineer any of the Next Earth website (www.nextearth.io; the “Website”), except to the extent any such restrictions are expressly prohibited by applicable law;
  • Use any device, software, or routine to interfere or attempt to interfere with the proper working of the Game, or any activity conducted on the Website;
  • Frame or link to any of the materials or information available on the Website;
  • Access, tamper with, or use non-public areas of the Website, Next Earth’s (and the Organizer’s) computer systems and infrastructure, or the technical delivery systems of Next Earth’s providers;
  • Provide any false information to the Organizer;
  • Create a false identity or impersonate another person or entity in any way;
  • Restrict, discourage or inhibit any person from using the Website;
  • Gain unauthorized access to the Website, other users’ accounts, or other computers or websites connected or linked to the Website;
  • Transmit to the Website any virus, worm, spyware, or any other computer code, file, or program that may or is intended to disable, overburden, impair, damage, or hijack the operation of any hardware, software or telecommunications equipment, or any other aspect of the Website or communications equipment and computers connected thereto;
  • Scanning or monitoring the Website for data gathering purposes in an effort to track sales, usage, aggregate offering information, pricing information, or similar data;
  • Taking any action that places excessive demand on the Organizer’s services or imposes, or may impose, an unreasonable or disproportionately large load on the Organizer’s servers or other portion of the Organizer’s infrastructure (as determined in the Organizer's sole discretion);
  • Violate any federal, state, or local laws or regulations or the terms of this Game Rules;
  • Assist or permit any person in engaging in any of the activities described above.

The participants must cooperate with the Organizer, in particular with regard to the declaration requested by the Organizer. The Organizer’s decision on the exclusion is final and cannot be contested.

The rewards are inclusive of all taxes, duties, and further payables. The participants are solely responsible for reporting and paying every and all taxes, duty, and further payables applicable for the rewards won by the participants under the laws applicable to them and their taxation. Participants further agree and acknowledge that the Organizer reserves the right and is authorized to withhold from any transaction any amounts it is required to withhold and pay over to any governmental authority under applicable law, and any such withheld amounts shall be treated as paid to the participant by the Organizer.

Participants agree to defend, indemnify, and hold harmless the Organizer, its subsidiaries and affiliates, and their respective directors, officers, employees, and agents from and against all claims and expenses, including, without limitation, attorneys’ fees, arising out of, related to, or in connection with any of the following: (a) any use of the Website in violation of these Game Rules; (b) fraud what participant commits or it's intentional misconduct or gross negligence; or (c) participant violation of any applicable U.S., Canadian, Marshall Islands or foreign law or rights of a third-party; or (d) breach of any applicable tax laws and regulations and/or the tax obligations arising therefrom.

To participate in the Treasure Hunt, participants must use and provide an email address and wallet address where they can be contacted and receive the reward. This is the sole responsibility of the participants; the Organizer does not take any responsibility for the functioning of the participant’s email address and/or any fault or incorrectness of such information. The Organizer does not take any responsibility for any technical problems that may occur in accordance with the aforementioned issues.

Any breach of the Game Rules - even after the reward has been won -, shall result in disqualification from the Game and possible legal action. The participant accepts full responsibility for any damage caused to the Organizer by breaking the rules. The Organizer’s decision on disqualification is final and cannot be contested.

The Organizer reserves the right to exclude a participant from the Game with immediate effect if it detects or has reasonable grounds to suspect any manipulation (e.g. computer manipulation) or any conduct incompatible with or in breach of the spirit of the Game.

If the participant closes the browser window during the purchase or “cleaning” of the tiles or if the connection (for any reason) to the server's website is lost, the Organizer shall not be liable for any loss of data.

The Organizer reserves the right to change or withdraw the Game for unforeseen reasons. In this case, the Organizer will publish information about this fact on the Website.

In particular, the Organizer is entitled to withdraw or suspend the Game and to refuse the transaction of the reward if there is a suspicion of abuse or violation of the Game Rules in connection with the Game, as well as in the event of unforeseen (force majeure) circumstances. The Organizer shall not be liable for any dispute as to who is deemed to be the winner and reserves the right to withhold any reward until any dispute that may arise has been finally and successfully resolved by the parties. In the event that the Organizer suspends or terminates the Game, no interested party, including the participants, shall be entitled to claim damages or to request the continuation of the Game.

8. Privacy

Participants hereby explicitly agree that the Organizer is entitled to use their username and the total sum of the purchased Campaign Area tiles with their user account to publish these data on a leaderboard on one or more (sub)pages within the Website. Participants have the right to object to their inclusion on the leaderboard, through the contact email address: [email protected]. If the participant does this objection the Organizer shall remove their account name within 24 hours.

Before transferring the reward, the Organizer may check if the conditions set out in these Game Rules are met and, if it deems it necessary, request a declaration from the participants, together with a selfie while holding any identification documents, that they are eligible to participate in the game.

In case the Organizer finds it necessary to request the aforementioned declaration, participants shall give the following information: full name; birthplace, and date; proof of permanent address within 5 working days. If there is no reply from the participant after 5 working days, the participant shall receive a reminder message. If the participant still fails to respond, the participant lost the reward and shall no longer be eligible to receive it.

In relation to the data submitted and its validity, or in any other case of dispute, the decision of the Organizer shall prevail.

The Organizer shall only process the following data related to the game: username; wallet address; email address.

In the event that the Organizer request the participant to make a declaration and self-identification as described above, the following data shall be processed: full name; date and place of birth; address; wallet address; email address; username.

For the controlling and handling of the participants’ personal data in connection with the Game, the Privacy Policy of Next Earth shall govern, extended with the following additional terms.

The data received are confidential and may be handled by the Organizer as a data controller and by the data processor designated by the Organizer in accordance with the applicable legislation.

The participant shall ensure that the data used in the game are used securely (except for the data which may be published in accordance with the above), including by preventing unauthorized persons from accessing them. The participants shall immediately inform the Organizer if they become aware of any misuse of such data.

The data of the winning participants shall be kept for 5 years. The data of participants who have not won shall be deleted within 5 months at the latest.

To participate in the Treasure Hunt, participants must provide all the information required by this Game Rules, otherwise, they cannot be able to participate in the Game.

The participant's data shall not be transferred to third countries by the Organizer and shall not be used for automated decision-making or profiling.

No picture and/or sound recording of the participant is made during the Game.

The participant has the right to access the personal data processed by the Organizer for the purposes of ascertaining and verifying the lawfulness of the processing and shall have the right to obtain additional information as specified in the applicable laws.

The participant has the right to request the rectification of personal data processed by the Organizer. The participant has the right to request the rectification of the incomplete or inaccurate personal data, although in such case the authenticity of the newly provided data may need to be verified.

The participant has the right to request the deletion of his personal data processed by the Organizer. This entitles the participants to have their personal data deleted by the Organizer if there is no good reason to continue processing it. The participants also have the right to request the deletion of their personal data in the event that the Organizer has unlawfully processed the data or if the Organizer is obliged to delete their personal data.

In certain cases, the Organizer may refuse to comply with a request for cancellation, of which the participant shall be duly informed. If the participants request the deletion of their data that is essential for the participation in the Game, the Organizer shall comply with this request in full, but as a result, the participant shall be disqualified from the game and lose the reward.

The participant has the right to object to the processing of their personal data if the legal basis for the processing is the legitimate interest of the Organizer or a third party, and the participants object to the processing because they believe that their rights, legitimate interests, and fundamental freedoms prevail over the legitimate interests of the Organizer or a third party. The participants may also object if the Organizer processes their personal data for the purposes of direct marketing, market research, or profiling. In such a case, the Organizer shall no longer process the personal data concerned, unless it demonstrates compelling legitimate grounds which override the interests, rights, and freedoms of the data subject or which are necessary for the establishment, exercise, or defense of legal claims or for the protection or defense of personal data.

The participant has the right to request the restriction of the processing of their personal data, for example, where the Organizer is unlawfully processing the data and the participant does not want the data to be deleted and prefers to request the restriction of the use of the data, or where the participant disputes the accuracy of the data processed by the Organizer.

The participants have the right to request the transmission of personal data provided to the Organizer to them or a third party. The participant’s personal data shall be disclosed to the Organizer or a third party of the Organizer’s choice for broad use, machine-readable format. It is important to note that this right only applies to data provided by the participant to the Organizer.

The participants have the right to withdraw consent to any consent-based processing at any time where the processing of the participant’s personal data is based on the consent of the participant. It is important to note that the withdrawal of consent does not affect the lawfulness of the processing carried out before the withdrawal of consent.

The participants have the right to direct recourse to the authorities in case of unlawful processing. If the participants believe that the Organizer has unlawfully processed their personal data, the Organizer recommends that the participant should contact the Organizer using one of the contact details above in order to clarify the matter and seek an amicable settlement as soon as possible. If this is not successful or the participants do not want to exercise this option, the participants have the right to lodge a complaint with any data protection authority competent in the place where the participant is resident, works or where the alleged breach occurred, without prejudice to any other administrative or judicial remedies.

9. Miscellaneous

Participants accept full liability for any damage caused to the Organizer by any breach of the Game Rules.

The Organizer disclaims any liability for any failure of the Website for reasons beyond its control, during which time the Website may be unavailable or of limited use, but they will take all necessary measures to promptly identify and remedy the cause of the failure.

The Organizer excludes its liability for any external attacks on the Website, online spaces, and the server that operates it. Therefore, in the event of an attack on the Website or the server, where the participants receive incorrect system messages, the Organizer shall not be liable in any way for such cases.

The Organizer shall not be liable for and excludes all claims for damages for any technical failures (hardware or software failures, slow computer or internet connection/availability, internet service provider failure, server or service provider failure, partial or total unavailability of the website for any reason, network congestion) that may occur in connection with the purchase, unauthorized human or non-human interference with the Game, including but not limited to unauthorized tampering, computer piracy, theft, viruses) and excludes all claims for compensation or damages for costs, damages, losses arising from or related to any errors, defects, malfunctions, delays or delays in the Game, or any other cause of loss or damage arising from or related to the Game.

AS PERMITTED BY APPLICABLE LAW, PARTICIPANTS EXPRESSLY AGREE THAT THEY ARE PARTICIPATING IN THE GAME AT THEIR SOLE RISK. NEITHER THE ORGANIZER, NOR ITS SUBSIDIARIES OR AFFILIATES OR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, MERCHANTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, WARRANT THAT USE OF THE WEBSITE OR PARTICIPATION IN THE GAME WILL BE UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR FREE, NOR DO THEY MAKE ANY WARRANTY AS TO (A) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WEBSITE, OR (B) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF (I) THE CONTENT ON THE WEBSITE, (II) DESCRIPTIONS OF THE GAME. INFORMATION CONTAINED ON THE WEBSITE OR OTHER AVAILABLE PRODUCTS ACCESSIBLE OR AVAILABLE THROUGH THE WEBSITE, ARE MADE ACCESSIBLE OR AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT ALLOWED BY APPLICABLE LAW, ORAGNIZER HEREBY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, AS TO THE OPERATION OF THE WEBSITE AND TO THE GAME, OR OTHER INFORMATION CONTAINED ON THE WEBSITE OR OTHER AVAILABLE PRODUCTS ACCESSIBLE OR AVAILABLE THROUGH THE WEBSITE, INCLUDING, WITHOUT LIMITATION, THOSE OF TITLE, NON-INFRINGEMENT, NON-INTERFERENCE, MERCHANTABILITY, SUITABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS WARRANTIES IMPLIED FROM A COURSE OF PERFORMANCE OR COURSE OF DEALING.

The Organizer reserves the right to change the Game Rules if it deems it necessary. Any changes will be notified to the participant on the Website.

These Game Rules shall be governed by the laws of the Marshall Islands and any disputes arising out of or in connection with the Game shall be subject to the exclusive jurisdiction of the Marshall Islands’ courts.
